These terms are an agreement between the user (“you” or “user”) and Sonic Cascade, LLC (“Sonic Cascade”). These Terms of Use (“Terms”) govern access to and use of Sonic Cascade’s products, together with any other online service operated by Sonic Cascade that displays or links to these Terms (collectively, the “Services”).

Sonic Cascade also offers software, plug-ins, and applications (collectively, the “Software”). The download, installation, and use of the Software is governed by Sonic Cascade’s End User License Agreement (the “EULA”). Sonic Cascade’s Privacy Policy explains how Sonic Cascade handles personal information. The EULA, Privacy Policy, and any additional terms presented for a particular offering are incorporated into these Terms when applicable. If these Terms conflict with the EULA regarding the Software, the EULA controls that subject.

THESE TERMS FORM A BINDING LEGAL AGREEMENT BETWEEN YOU AND SONIC CASCADE. PLEASE READ THEM CAREFULLY. ACCESSING OR USING THE SERVICES CONFIRMS THAT YOU ACCEPT THESE TERMS. IF YOU DO NOT ACCEPT THEM, DO NOT ACCESS OR USE THE SERVICES.

1. Eligibility and Authority

You represent and warrant that you: (a) are at least eighteen (18) years old; (b) have not previously been suspended or removed from the Services; (c) have full power and authority to enter into these Terms without violating another agreement; and (d) understand that use of the Services is at your own risk. The Services are directed to users in the United States and may not be appropriate, available, or fully functional elsewhere. Users located outside the United States use the Sonic Cascade Services and Software understanding this limitation. If you use the Services for a company or other organization, you represent that you are authorized to bind that organization. In that case, “you” includes both you and the organization.

2. Access to the Services; Limited License

Some Services may be offered without charge, for a one-time fee, by subscription, or under another lawful pricing arrangement. A payment does not transfer ownership of any Service or Service Content (defined below). Subject to these Terms, Sonic Cascade grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Services for your personal use or internal business purposes. Rights associated with a paid Service may be limited to the operating system, account, device, or other environment identified at purchase. Rights in the Software are granted only under the EULA.

By using the Services, you agree to follow all applicable laws, including, without limitation, copyright law. You may not use, reproduce, duplicate, distribute, create derivative works based upon, publicly display, publicly perform, publish, transmit, or otherwise exploit the Services or the Software for any purpose other than those outlined by these terms or with Sonic Cascade’s express permission. You may be required to accept a third party’s terms or privacy policy. When that occurs, Sonic Cascade will identify the applicable terms, and your use of that feature constitutes your agreement to the identified third-party terms.

If you access the Services through a mobile device or application, you are responsible for all message, data, and similar charges imposed by your provider. Wireless service may be unavailable or interrupted and may be affected by coverage, equipment, software, or service changes outside Sonic Cascade’s control. Device-platform or carrier terms may also apply.

Sonic Cascade may add, modify, suspend, or discontinue all or part of the Services at any time, subject to applicable law and any express written commitment that applies to you. Sonic Cascade does not promise that the Services will be available in every location, on every device, or without interruption.

3. Accounts and Registration Information

Certain Services may require an account. You may select, or Sonic Cascade may issue, a username, unique identifier, password, personal identification number, or similar credential (collectively, “Login Credentials”). You are responsible for keeping Login Credentials confidential and for activity conducted through them, whether or not you authorized the activity. Login Credentials may not be shared or transferred. Notify Sonic Cascade immediately at legal@soniccascade.com if you learn of unauthorized access or another security incident involving your account.

You agree to provide accurate and complete information (“Registration Information”) when registering and whenever an update is requested. You must promptly update Registration Information when it changes.

Sonic Cascade may access, preserve, and disclose user information when required by law or when Sonic Cascade believes in good faith that doing so is reasonably necessary to: comply with legal process; enforce these Terms; address a claim that another person’s rights have been violated; respond to a customer-service request; or protect the rights, property, or safety of Sonic Cascade, users, or the public.

Sonic Cascade may offer promotional emails, newsletters, or text-message programs. Participation may require Registration Information such as your name, email address, mailing address, or mobile number, and Sonic Cascade’s handling of that information is governed by the Privacy Policy.

4. Acceptable Use

You will use the Services only as permitted by these Terms and applicable law. You may not:

Remove, alter, or distort a copyright, trademark, or other proprietary notice displayed through the Services or in Service Content;
Circumvent, disable, or interfere with a security, access-control, copying-prevention, or rights-management feature;
Copy or extract data from the Services or Service Content, except for routine indexing by a bona fide public search engine or as Sonic Cascade expressly authorizes in writing;
Send unsolicited advertising or promotional material, or solicit users to join a commercial service or organization, without Sonic Cascade’s prior written approval;
Interfere with the proper operation of the Services, introduce malicious code, or impair, overload, disrupt, or disable the Services or another person’s equipment;
Impersonate another person or entity, misrepresent an affiliation, create an account for another person or entity without authorization, or speak for an organization without authority;
Post, transmit, or make available material that is unlawful, threatening, harassing, abusive, defamatory, obscene, pornographic, invasive of privacy or publicity rights, or otherwise objectionable;
Use the Services to commit or encourage a criminal offense, create civil liability, violate another person’s rights, or violate privacy, export-control, sanctions, or other applicable law; or
Upload or transmit material that infringes intellectual-property or proprietary rights.

5. Sonic Cascade Content and Intellectual Property

The Services, their functionality, and all content made available by or on behalf of Sonic Cascade—including text, files, images, software, scripts, audio, video, information, materials, products, URLs, technology, designs, and features—together with all modifications, enhancements, derivative works, trademarks, service marks, trade names, trade dress, and other intellectual-property rights in them (collectively, “Service Content”) are owned by Sonic Cascade, Sonic Cascade’s licensors, Sonic Cascade’s affiliates, or identified third parties. All rights not expressly granted are reserved.

Unless Sonic Cascade expressly authorizes otherwise in writing, you may not sell, license, modify, distribute, copy, transmit, publicly display or perform, publish, create derivatives from, or otherwise exploit the Services or Service Content. You do not acquire ownership by downloading, installing, or printing Service Content. Software made available through the Services is protected by copyright law and international treaties, and use of that Software is subject to the EULA and any other license presented with it.

6. User Content and Submissions

User Content. Sonic Cascade may permit you to upload, input, post, transmit, store, or otherwise make available records, data, text, links, graphics, photographs, audio, video, comments, or other material (collectively, “User Content”). As between you and Sonic Cascade, you retain ownership of your User Content, subject to the rights granted below. Unless a separate written agreement states otherwise, User Content is not treated as confidential merely because it is submitted through the Services. You are responsible for protecting your rights in User Content and for maintaining any copies you need.

You may submit User Content only if you have all permissions and rights needed for Sonic Cascade and other authorized users to handle that content. User Content must comply with all requirements set forth in these Terms.

License to Sonic Cascade. When you submit User Content, you grant Sonic Cascade and Sonic Cascade’s affiliates, service providers, licensees, successors, and assigns a worldwide, royalty-free, non-exclusive, transferable, and sublicensable license to host, store, reproduce, modify, adapt, translate, distribute, transmit, publish, publicly display, publicly perform, and otherwise use that User Content, in whole or in part, in any medium now known or later developed, for operating, improving, promoting, and providing the Services and Sonic Cascade’s business. The license is perpetual and irrevocable to the extent necessary for uses already made, for legal or archival purposes, or where User Content has been incorporated into a derivative work or shared as you directed. To the extent the Services allow other users to access User Content, you also authorize those users to access and use it as permitted by the Service’s functionality and these Terms.

Persona Rights. To the extent User Content includes a name, identity, title, likeness, image, portrait, photograph, voice, statement, gesture, mannerism, biographical information, signature, geographic reference, or other indicia of identity (collectively, a “Persona”), you grant Sonic Cascade the same worldwide, royalty-free, transferable, and sublicensable right to use that Persona in connection with the User Content and for advertising, trade, marketing, and promotional purposes, without additional notice, approval, or compensation, except where prohibited by law. Any use of personal information remains subject to the Privacy Policy. To the extent permitted by law, you waive and agree not to assert moral rights or similar rights in User Content.

Unsolicited Materials. Sonic Cascade does not solicit creative ideas, concepts, proposals, marketing plans, product names, technologies, or similar submissions outside an established submission process (“Unsolicited Materials”). If you send Unsolicited Materials you grant Sonic Cascade an unrestricted, perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable right to use and redistribute them for any purpose without compensation or attribution.

Moderation and Advertising. Sonic Cascade may, but is not required to, monitor User Content. Sonic Cascade may edit, refuse, remove, disable, preserve, or disclose User Content at any time. Sonic Cascade may place advertising in connection with User Content and may use User Content for commercial, marketing, and promotional purposes consistent with the rights granted above. User Content may appear through Sonic Cascade’s distribution, marketing, hosting, and other service providers, including their downstream systems and users.

7. Refund Policy

Every Sonic Cascade plugin comes with a free 7-day trial, allowing you to run it through your own sessions before payment is required. If you are not satisfied with the Services or the Software and have not yet unlocked the plugin with its serial number, you may email Sonic Cascade to be refunded in full. Orders become final after 14 days or the serial number is used, whichever occurs first.

To request a refund, email support@soniccascade.com from the email address that you used at checkout. Include your order reference number, a description of the plugin for which you are requesting a refund, and a description of the reason for the requested refund (e.g., accidental duplicate purchase, product does not meet project needs). For requests made before your order has become final, please confirm the serial number has not been entered. Sonic Cascade will respond as promptly as possible. Approved refunds go through FastSpring back to the payment method used for the purchase. If a refund is approved, the license and serial number for that order are cancelled, and the plugin must be removed from your system.

If a plugin is not running properly on a system that meets its listed requirements, Sonic Cascade will attempt to assist you in solving the issue. If Sonic Cascade cannot get the plugin working, refunds may be provided on a case-by-case basis.

8. Indemnification

You will defend, indemnify, and hold harmless Sonic Cascade and its officers, directors, employees, parents, partners, successors, agents, distributors, affiliates, subsidiaries, licensors, and service providers (collectively, the “Sonic Cascade Parties”) from and against claims, demands, proceedings, liabilities, losses, damages, judgments, penalties, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to: (a) your access to or use of the Services; (b) User Content submitted by you or through your account; (c) your actual or alleged breach of these Terms; (d) your actual or alleged breach of a representation, warranty, or covenant; (e) your violation of law or another person’s rights; or (f) your acts or omissions. You agree to cooperate fully in the defense of any claim that is the subject of obligations hereunder.

If you use the Services for a business or other organization, that organization also accepts these Terms and assumes the foregoing defense and indemnity obligations for claims arising from its or its users’ access, use, or violation of these Terms.

9. Disclaimer of Warranties

YOUR ACCESS TO AND USE OF THE SERVICES AND SERVICE CONTENT ARE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND SERVICE CONTENT, INCLUDING SOFTWARE MADE AVAILABLE THROUGH THEM, ARE PROVIDED “AS IS” AND “AS AVAILABLE.” THE SONIC CASCADE PARTIES DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES AND CONDITIONS, INCLUDING WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

10. Limitation of Liability and Time to Bring Claims

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW: (A) IN NO EVENT SHALL SONIC CASCADE OR THE SONIC CASCADE PARTIES BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF USE, LOSS OF PROFITS, OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE), OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF OR INABILITY TO USE THE SONIC CASCADE SOFTWARE, THE CONTENT OR THE SONIC CASCADE MATERIALS, INCLUDING WITHOUT LIMITATION ANY DAMAGES CAUSED BY OR RESULTING FROM RELIANCE ON ANY INFORMATION OBTAINED FROM SONIC CASCADE, OR THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES OR EMAIL, ERRORS, DEFECTS, VIRUSES, DELAYS IN OPERATION OR TRANSMISSION, OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT RESULTING FROM ACTS OF GOD, COMMUNICATIONS FAILURE, THEFT, DESTRUCTION, OR UNAUTHORIZED ACCESS TO SONIC CASCADE’S RECORDS, PROGRAMS, OR SERVICES; AND (B) IN NO EVENT SHALL THE AGGREGATE LIABILITY OF SONIC CASCADE, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE, WHETHER ACTIVE, PASSIVE, OR IMPUTED), PRODUCT LIABILITY, STRICT LIABILITY, OR OTHER THEORY, ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SONIC CASCADE SOFTWARE AND/OR SONIC CASCADE MATERIALS EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SONIC CASCADE SOFTWARE DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM OR ONE HUNDRED DOLLARS, WHICHEVER IS GREATER. TO THE EXTENT THAT APPLICABLE LAW PROHIBITS LIMITATION OF SUCH LIABILITY, SONIC CASCADE SHALL LIMIT ITS LIABILITY TO THE FULL EXTENT ALLOWED BY APPLICABLE LAW.

ANY CLAIM OR CAUSE OF ACTION ARISING FROM OR RELATING TO THE SERVICES, SERVICE CONTENT, OR THESE TERMS MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CLAIM ACCRUES; OTHERWISE, IT IS PERMANENTLY BARRED. SOME JURISDICTIONS DO NOT ALLOW PARTICULAR WARRANTY DISCLAIMERS, DAMAGE EXCLUSIONS, LIABILITY CAPS, OR CONTRACTUAL LIMITATION PERIODS. TO THAT EXTENT, THE AFFECTED PROVISION WILL APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Suspension and Termination

Sonic Cascade may, in its discretion and at any time, suspend or terminate your account or access to any or all Services, deactivate Login Credentials, discontinue the Services, or modify the Services, including when you fail to comply with these Terms. Except where applicable law or an express written agreement requires otherwise, Sonic Cascade may take these actions without notice, liability, refund, or compensation. You agree that Sonic Cascade is not liable to you or a third party for a suspension, termination, or blocking decision.

A material breach of these Terms may cause irreparable harm for which damages are inadequate. Sonic Cascade may therefore seek injunctive or other equitable relief in addition to available legal remedies, without posting bond or other security to the extent permitted by law.

Termination does not eliminate obligations that arose before termination. Provisions that by their nature should continue will survive, including ownership provisions; licenses already granted; indemnification obligations; warranty disclaimers; limitations of liability; dispute-resolution, governing-law, and claim-limitation provisions; and the general terms below.

12. Governing Law; Jurisdiction

These Terms are governed by the laws of the State of Illinois, without regard to choice- or conflict-of-law principles. Notices to Sonic Cascade must be sent to legal@soniccascade.com or Sonic Cascade, LLC c/o United States Corporation Agents, Inc., 980 N. Michigan Ave., Ste. 1085, Chicago, IL 60611-4525. Sonic Cascade may send notice using the contact information associated with your account. All claims must be brought exclusively in the state or federal courts located in Kane County, Illinois, and each party consents to personal jurisdiction and waives objections based on venue or inconvenient forum, except where applicable law requires otherwise.

13. Changes to the Services and These Terms

Sonic Cascade may amend, supplement, or replace these Terms and may adopt operating rules or additional terms for the Services or a particular feature (“Additional Terms”). Additional Terms are incorporated into these Terms when presented to you. If Additional Terms conflict with these Terms, the Additional Terms control for the subject they address.

Unless applicable law requires a different process, changes become effective when the terms are updated and you are notified. If a change is material, Sonic Cascade may provide additional notice through the Services, by email, or by another reasonable method. You are responsible for reviewing the current Terms periodically. Using the Services after revised terms take effect constitutes acceptance.

14. General Terms

Electronic Communications. You consent to receive communications from Sonic Cascade electronically, including through the Services and by email. You agree that electronic communications satisfy any legal requirement that the communication be in writing, without affecting rights that applicable law does not permit you to waive.

No Waiver. A failure or delay by either party to exercise a right or remedy is not a waiver. A waiver is effective only for the specific instance and purpose for which it is given.

Severability. Except where expressly provided otherwise, if a provision of these Terms is unlawful or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect. A court or arbitrator should modify or sever only the minimum portion necessary to address the defect.

English Controls. A translation of these Terms, the Privacy Policy, or Additional Terms is provided for convenience only. If versions conflict, the English-language version controls.

Entire Agreement. These Terms, together with the Privacy Policy, the EULA when applicable, and all applicable Additional Terms, constitute the entire agreement concerning their subject matter and supersede prior or contemporaneous oral or written understandings concerning that subject matter.

Assignment. You may not assign these Terms, transfer a right, or delegate an obligation without Sonic Cascade’s prior written consent. An attempted transfer in violation of this restriction is void. Sonic Cascade may assign these Terms and any rights or obligations under them without your consent or notice, including in connection with a merger, acquisition, reorganization, or sale of assets.

Headings. Headings are included for convenience and do not affect interpretation.
